We are Red Cherry IT ("Company," "we," "us," "our"), a company registered in the United Kingdom at 16 Clifford Gardens, Crawcrook, Tyne and Wear NE40 4UB.

We operate the website https://redcherryit.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Red Cherry IT, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

We reserve the right to make changes to these Legal Terms at any time. We will alert you to changes by updating the "Last updated" date. It is your responsibility to periodically review these Legal Terms. The Services are intended for users who are at least 18 years old.

Website Design Services

Where you engage Red Cherry IT to design and build a website or related digital service, the following terms apply in addition to the general Legal Terms below:

Payment. A 50% deposit is required to begin work on your website. The remaining 50% balance is due once you approve the finished website prior to launch.

Hosting. The first year of hosting is included with every package. Hosting renews annually thereafter at the rate listed on our pricing page, current at the time of renewal.

Cancellation. If a project is cancelled after work has begun, the initial 50% deposit is non-refundable, as it covers design and development work already carried out.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

The Services are not tailored to comply with sector-specific regulatory regimes (for example, those applying to financial services or healthcare), so if your interactions would be subject to such requirements, you may not use the Services.

2. Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws and are provided "as is" for your personal, non-commercial use or internal business purpose only. Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for personal, non-commercial use.

Except as set out in this section, no part of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, sold, or otherwise exploited for any commercial purpose without our express prior written permission. By sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submissions, and that we may use and disseminate them for any lawful purpose without compensation to you.

3. User Representations

By using the Services, you represent and warrant that all registration information you submit is true, accurate, current, and complete; you will maintain and promptly update such information; you have the legal capacity to comply with these Legal Terms; you are not a minor in your jurisdiction; you will not access the Services through automated or non-human means; you will not use the Services for any illegal or unauthorised purpose; and your use will not violate any applicable law or regulation.

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to remove or change a username we determine, in our sole discretion, to be inappropriate or objectionable.

5. Products

We make every effort to display as accurately as possible the colours, features, specifications, and details of any products available via the Services. We do not guarantee that these will be accurate, complete, reliable, or free of error. All products are subject to availability and prices are subject to change.

6. Purchases And Payment

We accept payment via Visa, Mastercard, American Express, and bank transfer. You agree to provide current, complete, and accurate purchase and account information and to promptly update it as needed. All payments are in GBP. We reserve the right to refuse or limit any order placed through the Services, and to correct any pricing errors even after payment has been received or requested.

7. Subscriptions

Where a subscription service applies, it will continue and automatically renew unless cancelled. You can cancel at any time by logging into your account or by emailing info@redcherryit.com; cancellation takes effect at the end of the current paid term. We may change subscription fees from time to time, communicated in accordance with applicable law.

8. Return / Refunds Policy

Please review any Return Policy posted on the Services prior to making a purchase. For website design services specifically, see the Payment and Cancellation terms above.

9. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to: systematically retrieve data to build a collection or database without permission; trick, defraud, or mislead us or other users; circumvent or interfere with security-related features; disparage or harm us or the Services; use information from the Services to harass or harm another person; misuse our support channels; use the Services in a manner inconsistent with applicable law; upload viruses or other harmful code; use automated scripts, bots, or data-mining tools; impersonate another user; interfere with or place undue burden on the Services; attempt to bypass access restrictions; decompile or reverse-engineer any part of the Services; or use the Services to compete with us or for unauthorised commercial purposes.

10. User Generated Contributions

The Services do not generally invite users to submit or post content. Where we do provide such an opportunity, any content, materials, or information you submit ("Contributions") may be viewable by other users and treated in accordance with our Privacy Policy. By submitting Contributions, you represent that you own or have the necessary rights to do so, that they are not false, misleading, unlawful, obscene, or infringing of any third-party rights, and that they do not violate these Legal Terms.

11. Contribution Licence

We may access, store, process, and use any information and personal data you provide in accordance with our Privacy Policy. We do not assert ownership over your Contributions; you retain full ownership of them, but by submitting feedback or suggestions you agree we may use and share it for any purpose without compensation to you.

12. Third-Party Websites And Content

The Services may contain links to third-party websites or content that we do not investigate, monitor, or check for accuracy. We are not responsible for any third-party websites or content accessed through the Services, and inclusion of a link does not imply our endorsement. You access third-party websites at your own risk.

13. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms, take appropriate legal action against violators, restrict or disable access to any Contributions, remove content that is excessive or burdensome to our systems, and otherwise manage the Services to protect our rights and ensure proper functioning.

14. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United Kingdom; if you access them from another region, you consent to your data being transferred to and processed in the United Kingdom.

15. Term And Termination

These Legal Terms remain in full effect while you use the Services. We reserve the right, in our sole discretion and without notice, to deny access to and use of the Services to any person for any reason, including breach of these Legal Terms, and to terminate or delete accounts and associated content at any time.

16. Modifications And Interruptions

We reserve the right to change, modify, or remove content on the Services at any time without notice, and we have no obligation to update information on the Services. We cannot guarantee the Services will be available at all times and will not be liable for any loss caused by downtime or discontinuance.

17. Governing Law

These Legal Terms are governed by and interpreted following the laws of the United Kingdom. Red Cherry IT and you both agree to submit to the non-exclusive jurisdiction of the courts of Tyne and Wear.

18. Dispute Resolution

The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Any dispute arising from these Legal Terms shall otherwise be determined by arbitration seated in the United Kingdom, conducted in English, on an individual (non-class) basis. This does not apply to disputes concerning intellectual property rights, allegations of theft, piracy, invasion of privacy, unauthorised use, or claims for injunctive relief, which may be brought before a court of competent jurisdiction.

19. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct these and to change or update information at any time without prior notice.

20. Disclaimer

The Services are provided on an as-is and as-available basis. Your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services, and we do not warrant the accuracy or completeness of any content, nor assume liability for errors, unauthorised access to our servers, interruptions, or harmful code transmitted by third parties.

21. Limitations Of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services, even if we have been advised of the possibility of such damages.

22. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand made by a third party due to or arising out of your use of the Services, your breach of these Legal Terms, or your violation of the rights of a third party.

23. User Data

We maintain certain data you transmit to the Services for the purpose of managing performance, and data relating to your use of the Services. Although we perform regular routine backups, you are solely responsible for all data you transmit, and we have no liability to you for any loss or corruption of such data.

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that electronic signatures, contracts, and records satisfy any legal requirement that such communications be in writing.

25. Miscellaneous

These Legal Terms, together with any policies posted by us on the Services, constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not operate as a waiver. If any provision is found unlawful or unenforceable, it will be deemed severable and will not affect the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Legal Terms.
